I did some more testing to this and looks like you're right. When you use the basket subtotal restrictions it ignores products assigned (or not assigned) and just use the basket subtotal of all products in the cart regardless if they are discounted or not.

So to do what you need, you will need to use Qualifying products. Here you can assign all products (except the gift certificate) and then put the qualifying subtotal to be 49.95.

I just tired this in my store and I got the expected results where the gift certificate does not count towards the subtotal trigger.

OK great. I'll give that a try. Just to confirm, if we add new products then we have to manually add them to the qualifying products list for each price group / coupon, there's no way to just include all by default but exclude the gift certificate? I can predict this getting un-synced pretty quick.

Correct, you will have to manually add new products to this group. Adding product exclusions is on the road map which will make this easier to manage.

This still isn't working for me. I set everything up using Qualifying instead of Discounted and set "Restrict to Qualifying Subtotal" of $49.99. I get "Your basket is not eligible for the specified coupon." regardless of how many products I add to basket.

EDIT: trying attach a screenshot but it's shrinking it really small ?

You'll need the products in assigned to both qualifying and discounted products. The qualifying ones will be used to determine the threshold for the discount and the discounted products will define which products are eligible for the discount.
